1. Agreement to terms
By accessing or using Bizdex (the "Service"), you agree to these Terms & Conditions and any additional terms that apply to particular features. If you do not agree, don't use the Service.
2. The Service
Bizdex is a platform to help users find business connections, manage their network, and create deal-flow. We may provide free accounts, a paid "Pro" or "Enterprise" service tier, and integrations with third-party services. (This aligns with what your front-end shows.)
3. Accounts & registration
- You must register and provide accurate, complete information.
- You're responsible for keeping your login credentials secure.
- You're liable for all activity under your account.
- We may suspend or terminate accounts for misuse.
- We may delete accounts inactive for a long time (we'll decide the time-period).
4. Payment & subscriptions
- Paid tiers (Pro/Enterprise) require payment of fees as disclosed in the pricing section.
- Subscription charges are recurring. You're responsible for cancelling before renewal if you don't want to continue.
- No refunds unless we say otherwise.
- We may change pricing, features, or terms—will provide notice.
- Taxes: You're responsible for any applicable taxes (VAT, etc.).
5. Acceptable use
- You must comply with all laws and regulations.
- You must not use the Service to upload, post, transmit or distribute harmful, unlawful, abusive, harassing, fraudulent content.
- You must not use the Service to spam or harass other users, or scrape/extract data for commercial use unless explicitly permitted.
- You must not interfere with the Service (hacking, reverse-engineering, introducing viruses, etc.).
- Use of automated means/bots to access or use the Service is prohibited unless we explicitly allow it.
6. User content
"User Content" = any text, images, data, and other content you submit to the Service.
- You retain ownership of your User Content.
- By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, adapt, publish and display it as needed for the Service.
- You represent and warrant that you have rights to submit that content and that it doesn't violate any rights of others.
- We may remove or disable access to User Content at our discretion (for violation of terms or legal reasons).
7. Intellectual Property
- Bizdex and all associated marks, logos, brand features, Service design, software code, etc., are owned by us or our licensors.
- You may not use those marks without our written consent.
- All rights not granted to you are reserved.
8. Disclaimers & limitation of liability
- The Service is provided "as is" and "as available". We make no warranties (express or implied) about reliability, accuracy, or suitability for your purposes.
- We do not guarantee results from using the Service (e.g., you will find deals or connections).
- To the maximum extent permitted by law, we (and our officers, directors, employees, agents) are not liable for any indirect, incidental, special, punitive or consequential damages arising from your use of the Service.
- Our total liability to you for any claim under these terms is limited to the amount you paid us in the prior 12 months (or €100 if you haven't paid anything).
9. Indemnification
You agree to defend, indemnify and hold harmless us and our affiliates from and against any claims, damages, obligations, losses, liabilities, costs or debt arising from: your use of the Service, violation of these terms, or violation of rights of another party.
10. Termination
- Either you or we may terminate or suspend your access at any time, for any reason.
- On termination your right to use the Service ends.
- We may delete your account and content after termination.
- Sections that by their nature should survive termination (e.g., Intellectual Property, Indemnification, Limitation of Liability) will survive.
11. Governing law & jurisdiction
These Terms are governed by the laws of the Netherlands. Any dispute shall be subject to the exclusive jurisdiction of the courts located in Amsterdam, Netherlands.
12. Changes to terms
We may revise these Terms at any time. We'll provide reasonable notice (e.g., via email or in-app) and your continued use after changes means you accept them. If you do not agree, you must stop using the Service.
13. Miscellaneous
- These Terms constitute the entire agreement between you and us regarding the Service.
- If any part of these Terms is found invalid or unenforceable, the remainder will continue in full force and effect.
- Our failure to enforce a right is not a waiver.
